When companies raise capital publicly through the GISA Capital Raising Platform, investors may visit the “Ongoing Fundraising Information” page on the TPEx website to view relevant details, including the fundraising plan, total amount, intended use of funds, subscription price, and subscription period.
The investment limit for general investors is NT$150,000, which refers to the total amount invested in all GISA companies within the past year through the GISA Capital Raising Platform — not per company. However, there is no investment limit for angel investors, individuals with financial qualifications, or original shareholders.
Those wishing to apply as angel investors or financially qualified individuals should contact the TPEx service office.

※Definition of Angel Investors:
  1. Professional institutional investors, including:
    domestic/foreign banks, insurance companies, bills finance companies, securities firms, asset management companies, government investment agencies/funds, pension funds, mutual funds, unit trusts, securities investment trust firms, securities investment advisory firms, trust enterprises, futures firms, futures services enterprises, and other institutions approved by the competent authority.
  2. Legal persons or funds with shareholder equity exceeding NT$50 million (based on the latest CPA-audited or reviewed financial report) and with a dedicated investment unit. For foreign legal persons, CPA audit/review is not mandatory.
  3. Trust enterprises under trust contracts where the settlor meets the above conditions.
  4. Legally established venture capital firms.
※Definition of Individuals with Financial Qualifications : Natural persons who can provide proof of assets over NT$30 million and possess sufficient financial product knowledge or trading experience.
Before subscribing to GISA company shares, general investors must sign a Risk Disclosure Statement which clearly outlines the associated risks.
As GISA companies are non-publicly listed, in cases of legal violations or contract breaches, or disputes arising from investments, investors must pursue remedies through legal means.
During the subscription period, investors may log in to the “GISA Capital Raising System” using Citizen Digital Certificate, Business Certificate, Organizational Certificate, or Financial Certificate to subscribe to shares.
Please note that GISA company shares cannot be traded, as these are non-public companies and trading is not permitted by law. Hence, the platform does not provide a trading function.
When raising capital through the GISA platform, companies must disclose the following information on the TPEx “Ongoing Fundraising Information” page:
basic company profile, total fundraising amount and subscription period, fundraising plan, and the designated shareholder services agent.
The shares offered through GISA fundraising typically come from the portion of new shares (via cash capital increase) reserved for employees and original shareholders in accordance with Article 267 of the Company Act, but not subscribed by them.
Before GISA registration, the total amount of shares offered for subscription via the GISA platform must not exceed NT$30 million, unless the company has obtained a Recommendation Letter or an Innovation and Creativity Opinion Letter from a recognized recommending institution — in which case, the NT$30 million limit does not apply.
Companies may choose to allow all investors or restrict participation to angel investors only when conducting capital raising.
If the company restricts participation to angel investors, no other types of investors will be allowed to subscribe.
The company may also determine the final list of subscribers either based on investor preference or in the order of subscription.
